IMPORTANT: Please read these Terms & Conditions carefully before using The Vault. By accessing or using the app, website or any related services, you agree to be bound by these terms in full. If you do not agree, you must not use The Vault.

1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of The Vault application, website at myvaults.io, and all related services (collectively, the "Service") provided by Abaza Business Services ("we", "us", "our"). By creating an account, downloading the app, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms. These Terms constitute a legally binding agreement between you and Abaza Business Services.

We reserve the right to update these Terms at any time. Continued use of the Service following notification of changes constitutes acceptance of the revised Terms.

2. Valuation Disclaimer — No Financial or Appraisal Advice

The Vault is NOT a professional valuation service. No information provided by this app constitutes a formal appraisal, professional valuation, financial advice, or investment recommendation of any kind.

2.1 Nature of Price Estimates

Any price estimates, valuations, or market data displayed within The Vault (including but not limited to AI-generated estimates and live eBay pricing data) are provided for general informational and entertainment purposes only. They are:

• Estimates only — not formal appraisals or certified valuations
• Based on publicly available market data which may be incomplete, delayed, or inaccurate
• Generated in part by artificial intelligence systems which may produce incorrect, outdated, or misleading outputs
• Subject to significant market fluctuation and may not reflect current market conditions
• Not a guarantee of the price you will achieve if you sell, trade, or insure a collectible item
• Not a substitute for professional advice from a qualified appraiser, financial adviser, or dealer

2.2 AI Limitations and Data Accuracy

The Vault uses artificial intelligence to identify collectible items and provide information about them. You expressly acknowledge and agree that:

• AI identification may be incorrect, imprecise, or based on insufficient or outdated training data
• The AI may misidentify a card, set, edition, parallel, condition, rarity, or year
• AI-generated player or subject descriptions may be outdated, inaccurate, or incomplete
• Pricing data sourced from third-party platforms (including eBay) reflects listings or sold prices on those platforms only and may not represent the fair market value of your specific item
• Historical pricing data may be obsolete and no longer reflect current market conditions
• The Service may display information about items that has changed significantly since the AI was trained

We make no warranty, express or implied, regarding the accuracy, completeness, reliability, suitability, or timeliness of any information provided by the Service.

2.3 Your Responsibility

You agree that:

• You will use all valuations and estimates as a general guide only
• You will conduct your own independent research and due diligence before making any buying, selling, trading, or insurance decisions based on information from the Service
• You will consult a qualified professional appraiser, auction house, dealer, or financial adviser for any significant financial decisions involving collectible items
• You will not rely solely on The Vault for insurance valuations, estate valuations, tax declarations, or legal proceedings
• You accept full personal responsibility for any decisions made based on information provided by the Service

3. Authentication Disclaimer — No Authentication Services

The Vault does NOT authenticate, certify, verify, or grade any collectible item. Nothing in this app constitutes authentication of any card, stamp, coin, or other collectible.

3.1 No Authentication Provided

The Vault is a collection management and identification tool. We expressly disclaim any representation that the Service:

• Authenticates, certifies, or verifies the genuineness of any collectible item
• Confirms that any item is not a counterfeit, reproduction, forgery, reprint, or altered item
• Provides any grading service equivalent to or comparable with professional grading services such as PSA, BGS, CGC, or any other third-party grading company
• Detects or identifies alterations, trimming, cleaning, re-sealing, or other forms of card tampering
• Guarantees the provenance, ownership history, or legal title of any item

3.2 AI Identification is Not Authentication

When our AI identifies a collectible item from a photograph, this identification is based solely on visual analysis of the image provided. This process:

• Cannot detect forgeries, counterfeits, or reproductions that appear visually similar to genuine items
• Cannot assess physical properties such as card stock, ink composition, weight, or texture
• Cannot replace physical inspection by a qualified expert
• May produce incorrect identifications that could be mistaken for authentication

You must not represent or imply to any third party that an item has been authenticated, verified, or graded by The Vault. Any such representation would be false and misleading.

3.3 PSA Grading Recommendations

Where The Vault provides a recommendation regarding whether professional grading (such as PSA submission) may be financially worthwhile, this recommendation:

• Is an AI-generated estimate based on limited visual information only
• Does not constitute professional grading advice
• Does not guarantee any particular grade will be assigned by a grading service
• May be based on inaccurate condition assessment from photograph alone
• Should not be the sole basis for any grading submission decision

4. Limitation of Liability

To the fullest extent permitted by applicable law, Abaza Business Services, its officers, directors, employees, affiliates, agents, licensors, and service providers shall not be liable for any:

• Financial loss, including loss of profit, loss of revenue, loss of anticipated savings, or loss of business
• Loss arising from reliance on any valuation, price estimate, identification, or other information provided by the Service
• Loss arising from the purchase, sale, trade, or insurance of any collectible item based on information from the Service
• Loss arising from an incorrect AI identification, misidentification of card type, set, edition, or condition
• Loss arising from outdated, inaccurate, or incomplete pricing data
• Indirect, incidental, special, consequential, or punitive damages of any kind
• Any claim by a third party arising from your use of the Service or your reliance on information provided by the Service

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

5. No Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties that any information provided will be accurate, complete, current, or reliable
• Warranties that defects will be corrected

We do not warrant that the Service is suitable for use in connection with legal proceedings, insurance claims, tax assessments, or estate valuations.

6. Third-Party Data and Services

The Vault integrates data and services from third parties including but not limited to eBay and Anthropic. We are not responsible for the accuracy, availability, or reliability of third-party data. Third-party data is subject to the terms and conditions of the respective providers.

eBay pricing data reflects listings and completed sales on the eBay platform only. Such data is not representative of all market activity and may not reflect current prices achievable through other channels.

7. Acceptable Use

You agree not to use the Service to:

• Misrepresent the value, authenticity, or condition of any collectible item to any third party
• Commit fraud, deception, or any unlawful act in connection with the buying, selling, or trading of collectibles
• Upload content that is illegal, offensive, defamatory, or infringes the intellectual property rights of others
• Attempt to reverse engineer, scrape, or copy any part of the Service
• Use the Service for any commercial purpose without our prior written consent

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the software, design, text, graphics, logos, and AI models — are the exclusive property of Abaza Business Services and are protected by applicable intellectual property laws.

You retain ownership of any collectible images you upload to the Service. By uploading images, you grant us a limited, non-exclusive licence to use those images solely for the purpose of providing the Service to you.

9. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
